Job Description

SUMMARY:The Contract Specialist is responsible for supporting customer site licensing requests and the administration of existing license agreements. The incumbent is responsible for preparing, reviewing and drafting (as to form and standardized legal provisions) of new tenant contracts, amendments and other agreements and resolution of land-related issues related to customer licensing of tower space. The incumbent is also responsible for reviewing and processing of termination, renewal and assignment requests. The Contract Specialist may also be required to negotiate with customers or ground lessors to further the processing of pending customer applications for tower space licensing.

Job Requirements







ESSENTIAL FUNCTIONS:
* Review all site specific documentation and information for accuracy and completeness as part of "pre-drafting" due diligence which includes but is not limited to review of the ground lease or other underlying property documentation to determine American Tower's legal entity as well as legal obligations to property owners and document findings for use by other teams. Review of the approved customer application and business terms will also be required.
* Prepare the content and approve pricing of new license agreements and amendments to license agreements in accordance with national and non-national master agreements and/or negotiated market rates. 
* Draft annex parcel leases, use authorization and consent agreements, memoranda of lease and consent and notice letters for land-related transactions.
* Ensure all new contracts and amendments are drafted accurately and within seventy-two (72) hours of request.
* When required, negotiate standard form license agreement terms with customers and coordinate with Site Leasing Management and Legal Operations to resolve escalated business and legal issues.
* Work with internal teams and external customers to identify land use-related issues that may delay or inhibit a customer's ability to license space on a particular asset.
* Resolve title curative issues, working with external title companies as required, in accordance with departmental and company policy including but not limited to missing deeds, missing memoranda of lease/assignments, mortgages, all liens except mechanic's liens, probate issues, improper signature authority and issues concerning American Tower entities, Assess legal access and utility easement needs and draft easements and right of way documents.
* Negotiate with site landlords to obtain required consents and acquire additional lease rights where necessary to accommodate customer installations. 
* Address issues related to the use of government lands, including Bureau of Land Management and US Forest Service.
* Develop a high level understanding of American Tower's contractual rights and obligations with regard to particular customers by working with Contracts Attorneys, Contracts Managers and Director, Contract Management to support and advise Site Leasing Management, Collocation Project Management, Operations, Land Management and Tower Finance as inquiries are made.
* Communicate with Collocation Account Project Managers, Territory Managers - Business Development and external customers on a daily basis regarding revisions, corrections or discrepancies with tenant contracts and ensure all complex legal issues are coordinated with Legal Operations to ensure expeditious resolution consistent with Company policies.

EDUCATION AND EXPERIENCE:
* Bachelor degree or two years industry experience required
* Juris Doctor or minimum of 2 years paralegal experience preferred
ENVIRONMENT:
* 100% performed in climate-controlled internal office environment working under normal office conditions.
* Approximately 0-5% travel may be required in support of the position. 
* While performing the duties of this job, the employee is regularly required to sit; stand; walk; use hands and finger to feel and handle; reach with arms and hands; talk and hear. While performing the duties of this job, the employee frequently is required to stoop, kneel, and crouch; lift weight or exert a force up to a maximum of 25 pounds.
